Welcome to RelayAccounting. These Terms of Service ("Terms") govern your access to and use of the RelayAccounting platform, website at relayaccounting.com, and related services (collectively, the "Service") provided by RelayAccounting ("we," "us," or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

  • "Account" means the account you create to access the Service.
  • "Organization" means the business entity or workspace you create within the Service.
  • "User" means any person who accesses the Service through your Organization.
  • "Customer Data" means all data, content, and information submitted by you or your Users to the Service.
  • "Plan" means the subscription tier (Free, Pro, or Business) you have selected.

2. Account Registration

To use the Service, you must register for an account by providing accurate and complete information, including your name, email address, and organization name. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account.

You must be at least 18 years old to create an account. By registering, you represent and warrant that you have the authority to bind the Organization to these Terms.

3. Service Description

RelayAccounting is a cloud-based accounting and financial management platform that provides:

  • Bill and invoice management (accounts payable and receivable)
  • Transaction tracking and categorization
  • Recurring billing automation
  • Vendor and client contact management
  • Financial reporting and analytics
  • AI-powered insights and anomaly detection
  • Email ingestion for automatic bill processing
  • Multi-currency support

4. Plans and Pricing

We offer multiple subscription plans with varying features and limits. The current plans and pricing are displayed on our website. We reserve the right to modify pricing with 30 days' advance notice to existing subscribers.

4.1 Free Plan

The Free plan provides basic access to the Service at no cost. Free plan features may be limited compared to paid plans and may be modified at any time.

4.2 Paid Plans

Paid plans are billed on a monthly basis. Payment is due at the beginning of each billing cycle. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.

4.3 Upgrades and Downgrades

You may upgrade or downgrade your plan at any time. Upgrades take effect immediately with prorated billing. Downgrades take effect at the start of the next billing cycle.

5. Your Responsibilities

You agree to:

  • Use the Service only for lawful purposes and in compliance with applicable laws.
  • Maintain accurate and up-to-date account information.
  • Keep your login credentials secure and confidential.
  • Not share your account with unauthorized persons.
  • Not attempt to reverse-engineer, decompile, or disassemble the Service.
  • Not use the Service to store or transmit malicious code.
  • Not access the Service through automated means (bots, scrapers) without our written consent.
  • Not interfere with or disrupt the Service or servers.

6. Customer Data

6.1 Ownership

You retain all rights, title, and interest in your Customer Data. We do not claim ownership of your data.

6.2 License

You grant us a limited license to use, process, and store your Customer Data solely for the purpose of providing and improving the Service. We will not sell your data to third parties.

6.3 Data Export

You may export your Customer Data at any time through the Service's export features. Upon termination, we will make your data available for export for 30 days.

6.4 Data Accuracy

The Service is a tool to assist with financial management. You are solely responsible for verifying the accuracy of all financial data, calculations, and reports generated by the Service. The Service does not constitute professional accounting, tax, or financial advice.

7. AI Features

The Service includes AI-powered features such as categorization, anomaly detection, and financial insights. These features are provided for informational purposes only and should not be relied upon as the sole basis for financial decisions. AI outputs may contain errors and should be reviewed by qualified personnel.

8. Intellectual Property

The Service, including all software, design, text, graphics, and trademarks, is owned by RelayAccounting and protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks or branding without prior written consent.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

10. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice. We are not liable for downtime caused by circumstances beyond our reasonable control, including force majeure events, internet outages, or third-party service failures.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RELAYACCOUNTING SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

13. Indemnification

You agree to indemnify and hold harmless RelayAccounting from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

14. Termination

14.1 By You

You may cancel your account at any time through the Service settings. Upon cancellation, your access will continue until the end of the current billing period.

14.2 By Us

We may suspend or terminate your account if you violate these Terms, fail to pay fees, or engage in activity that poses a risk to the Service or other users. We will provide notice before termination unless immediate action is required for security reasons.

14.3 Effect of Termination

Upon termination, your right to use the Service ceases. We will retain your Customer Data for 30 days to allow export, after which it may be permanently deleted. Sections that by their nature should survive termination (Limitation of Liability, Indemnification, etc.) will survive.

15. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Cebu City, Philippines.

17. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and RelayAccounting.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Failure to enforce a provision does not waive our right to enforce it later.
  • Assignment: You may not assign these Terms without our consent. We may assign them in connection with a merger or acquisition.
